Terms and Conditions

1. Scope of Application

These General Terms and Conditions apply to all contracts, order confirmations, and agreements between Luneve Agency – Victoria Ahlers (hereinafter referred to as the “Agency”) and its clients (hereinafter referred to as the “Client”) concerning the placement and deployment of models, hostesses, or promotional staff.
Deviating terms and conditions of the Client shall only be recognized if expressly confirmed in writing by the Agency.

2. Subject Matter of the Contract

The Agency provides models, hostesses, and promotional staff (“Personnel”) for advertising, trade fairs, promotional activities, or event assignments.
The Agency acts as the principal contractor towards the Client and serves as the point of contact for planning, organization, and execution.
The agreed services are carried out by the provided models or hostesses on behalf of the Agency.

3. Formation of the Contract

A contract between the Agency and the Client is concluded through either:

• written or electronic order confirmation by the Agency, or

• express acceptance of a written offer by the Client.

Oral side agreements or amendments require written confirmation by the Agency.

4. Services and Obligations

The Agency undertakes to select and provide suitable personnel for each assignment.
The Client agrees to comply with the agreed working hours, tasks, and remuneration.
Any changes during the assignment (e.g. location, working hours, tasks) must be agreed upon in advance with the Agency.

5. Fees and Payment Terms

The hourly rates, daily rates, or flat fees stated in the order confirmation shall apply.
All prices are exclusive of statutory VAT, where applicable.
Payment is due within 7 calendar days of invoicing by the Agency, unless otherwise agreed, and must be made without deduction.

The provided personnel (models, hostesses, etc.) act as self-employed contractors and issue their own invoices to the Agency.
The Client is not entitled to pay the personnel directly or to rebook them without the Agency’s prior consent.

6. Cancellations and Non-Performance

In the event of cancellation by the Client, the following terms apply:

• up to 7 days before the start of the assignment: free of charge

• up to 3 days before the start of the assignment: 50% of the agreed fee

• less than 24 hours before the start: 100% of the agreed fee

Any costs already incurred (e.g. travel, preparation) must also be reimbursed.

7. Working and Assignment Conditions

The Client is responsible for ensuring a safe and reasonable working environment and for complying with all applicable legal requirements (e.g. working hours, breaks, occupational safety).
The personnel are not subject to instructions from third parties but perform their duties based on the contractual agreements with the Agency.

8. Liability

The Agency is liable only for damages caused by intent or gross negligence.
In the case of slight negligence, the Agency is only liable for the breach of essential contractual obligations (“cardinal obligations”), and then only for foreseeable, typical contractual damages.

The Agency accepts no liability for the behavior or non-appearance of the provided models or hostesses unless caused by the Agency’s fault.
The Client shall be liable for property damage, theft, or other incidents during the assignment unless caused by the Agency.

9. Use of Photos, Names, and Image Material

The use of image or video material of the provided personnel by the Client requires a separate written agreement (usage rights).
Without such written consent, no recordings may be published or used for advertising purposes.

10. Confidentiality

Both parties agree to treat all information and data obtained during the cooperation as confidential and not to disclose them to third parties.

11. Data Protection

The Agency processes personal data in accordance with the General Data Protection Regulation (GDPR).

12. Final Provisions

The place of performance and jurisdiction is Frankfurt am Main, to the extent permitted by law.
The law of the Federal Republic of Germany applies.

If any provision of these Terms and Conditions is invalid, the validity of the remaining provisions shall remain unaffected.
